Limited
Liability Companies (LLC's). A properly set
up LLC separates a business owner's personal finances from
his or her business finances. An LLC can protect
personal assets from creditor or liability claims.
LLC's are simpler to set up and maintain than corporations
and have been available in Connecticut since 1993.
Recent legislation allows an LLC to be set up by just one
person. We have the experience and skill to tailor an
LLC to meet the needs of each individual company.
Corporations.
A corporation that has been properly organized and remains
in good standing protects personal assets from creditor or
liability claims. Prior to the 1993 legislation that
allowed LLC's to be formed in Connecticut, most small
business owners incorporated as Subchapter S
corporations. In many instances, the corporate format
is the best choice for a business as it allows a division to
be made between ownership, supervision and day-to-day
operations. At least two persons are required to form
and maintain a corporation. Our many years of helping
corporate clients allows us to provide astute advice to
individuals who are considering incorporating a business.
Licensing.
Many businesses require special governmental licenses and
certificates. This is particularly true of businesses
that deal directly with the public, such as restaurants,
liquor stores, automotive repair shops, and home improvement
companies. We have the skill and experience to help
our business clients obtain and keep the licenses they need
to successfully operate their businesses.
Small
Business Administration (SBA) Loans. The
federal government helps provide financing for businesses
through the Small Business Administration Program.
While the SBA can provide loans with favorable terms, the
SBA application process can be complex and difficult.
We have guided clients through each step of the process,
from filing the initial application to closing the loan.
Litigation.
Businesses often become involved in litigation.
Contracts are breached, representations are made that turn
out to be false, deals fall through. As trial lawyers,
